NATIONAL TELEHEALTH PROVIDERS
TERMS & CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the websites, platforms, programs, memberships, and services offered or facilitated by National Telehealth Providers ("National Telehealth Providers," "NTP," "we," "us," or "our").

By accessing our website, creating an account, enrolling in a program, purchasing a membership or service, submitting information, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you should not use the Services.

National Telehealth Providers provides administrative, technology, enrollment, payment, and coordination services that facilitate access to healthcare, veterinary, pharmacy, laboratory, and related services provided by independent third parties.

National Telehealth Providers is not a medical practice and does not itself practice medicine, diagnose medical conditions, prescribe medications, determine medication dosages, interpret laboratory results, or make clinical treatment decisions.

Except where expressly stated otherwise, healthcare services made available through NTP are provided by independent licensed healthcare professionals and healthcare organizations.

If you are experiencing a medical emergency, call 911 or seek immediate medical attention. The Services are not intended for emergency medical care.

1. SERVICES OVERVIEW
National Telehealth Providers facilitates access to a variety of healthcare, veterinary, wellness, and related services.

Depending upon the program selected, Services may include:
Primary Care;
Urgent Care;
Behavioral Health;
Dermatology;
Veterinary telehealth and pet-care services;
Prescription discount services;
Men's health services;
Evaluation and treatment for testosterone deficiency;
Testosterone Replacement Therapy ("TRT");
Laboratory testing and monitoring;
Prescription medication fulfillment;
Mail-order prescription options;
Healthcare technology and patient portal access; and
Other healthcare, wellness, veterinary, pharmacy, laboratory, or related services that may be offered from time to time.

Different NTP programs may utilize different healthcare providers, technology platforms, pharmacies, laboratories, veterinary professionals, and other third-party service providers.

The availability and scope of any Service may vary based on the patient's or user's location, provider availability, professional licensing, pharmacy licensing, clinical eligibility, applicable law, and other operational or regulatory considerations.

2. NATIONAL TELEHEALTH PROVIDERS' ROLE
NTP facilitates access to Services and may perform administrative and non-clinical functions including:
Enrollment and account administration;
Program administration;
Customer support;
Payment collection and payment processing;
Subscription and membership administration;
Technology coordination;
Coordination with healthcare organizations, technology platforms, pharmacies, laboratories, and other service providers; and
Other non-clinical services associated with the programs made available through NTP.

NTP's involvement in enrollment, administration, payment collection, technology, or coordination does not mean that NTP is providing the underlying medical, veterinary, pharmacy, or laboratory professional service.

NTP does not direct, control, or interfere with the independent professional judgment of physicians, nurse practitioners, physician assistants, veterinarians, pharmacists, laboratory professionals, or other licensed professionals providing services through participating third-party organizations.

3. CARE SERVICES THROUGH LICENSED PARTNERS
NTP currently facilitates access to certain healthcare services through licensed partners.

Services available through licensed partners may include:
Primary Care;
Urgent Care;
Behavioral Health;
Dermatology; and
Other healthcare services that may be offered through licensed partners from time to time.

Licensed partners and/or their participating professional medical entities and licensed healthcare professionals are responsible for the healthcare services provided through these programs.

This includes, as applicable:
Reviewing patient medical information;
Conducting healthcare consultations;
Evaluating symptoms and medical conditions;
Making diagnoses;
Recommending treatment;
Determining whether a prescription is medically appropriate;
Selecting medications;
Determining medication dosage and instructions;
Referring patients for additional care; and
Making other clinical decisions.

NTP does not make these decisions.

Patients may access clinical services, healthcare communications, and other applicable clinical functionality through a patient portal or technology made available through licensed partners.

Availability of individual Care Services may vary based upon the patient's physical location, applicable state law, provider availability, scope-of-practice requirements, and other factors.

4. PRESCRIPTIONS ASSOCIATED WITH CARE SERVICES
When a healthcare provider participating through a licensed partner determines that prescription medication is clinically appropriate, the prescribing decision is made solely by the treating healthcare provider.

For prescriptions arising from NTP Care Services, patients generally have the ability to select the pharmacy to which an eligible prescription will be transmitted.

Patients may choose an eligible local retail pharmacy, such as a local chain or independently owned pharmacy, where available.

NTP may also make a mail-order pharmacy option available for patient convenience.

Patients participating in Care Services are not required to use a particular pharmacy solely because they obtained healthcare services through NTP.

The availability of any pharmacy or medication is not guaranteed. Prescription fulfillment may be affected by pharmacy participation, medication availability, insurance requirements, applicable law, inventory, pharmacy policies, or other circumstances outside NTP's control.

The pharmacy receiving a prescription is independently responsible for all dispensing decisions and pharmacy professional services.

NTP does not control whether a pharmacy agrees to fill a prescription.

5. VETERINARY SERVICES
NTP may facilitate access to veterinary telehealth, pet health, and related veterinary services through independent third-party veterinary service providers and technology platforms.

Veterinary Services are currently made available through licensed veterinary partners and/or participating veterinary professionals or organizations associated with the applicable veterinary program.

Veterinary evaluations, veterinary advice, diagnoses, treatment recommendations, prescribing decisions where legally permitted, and other veterinary professional services are performed exclusively by the applicable veterinarian or veterinary service provider.

NTP does not practice veterinary medicine, diagnose animals, prescribe veterinary medications, or make veterinary treatment decisions.

The scope and availability of Veterinary Services may vary by state because veterinary telehealth, veterinarian-client-patient relationship requirements, veterinary prescribing, and other veterinary professional requirements are governed by applicable state law.

Certain Veterinary Services may therefore be unavailable or more limited in some jurisdictions.

Veterinary Services may also be subject to separate terms, consents, privacy policies, and other policies established by the applicable veterinary service provider.

6. MEN'S HEALTH AND TESTOSTERONE REPLACEMENT THERAPY
NTP facilitates access to men's health services, including evaluation and treatment for testosterone deficiency and Testosterone Replacement Therapy ("TRT") when determined to be clinically appropriate by a licensed healthcare provider.

NTP's TRT program is separate from the Care Services described above.

TRT services are currently facilitated through licensed partners, which provide and/or coordinate healthcare technology, participating healthcare providers, patient care, patient portal functionality, laboratory testing and monitoring, and pharmacy fulfillment associated with the TRT program.

Healthcare providers participating through licensed partners and/or their affiliated or participating professional medical organizations are responsible for all clinical decision-making associated with TRT.

NTP does not determine whether a patient has testosterone deficiency, whether TRT is appropriate, whether testosterone should be prescribed, which testosterone product should be used, or what dose or treatment schedule should be prescribed.

7. TRT CLINICAL ELIGIBILITY
Enrollment in an NTP TRT program does not guarantee that a patient will receive testosterone or any other prescription medication.

Clinical eligibility is determined solely by the treating healthcare provider.

Participation may require:
Completion of a health and medical history questionnaire;
Disclosure of current medications and relevant medical conditions;
Identity verification;
Age verification;
Verification of the patient's physical location;
Telehealth consultation or other provider evaluation;
Baseline laboratory testing;
Follow-up consultations;
Repeat laboratory testing;
Ongoing clinical monitoring; and
Other evaluation required by the treating provider or applicable law.

The specific evaluation, laboratory testing, monitoring, and follow-up requirements are determined by the treating healthcare provider based upon professional judgment, the patient's medical history, laboratory results, treatment plan, and applicable law.

A healthcare provider may determine that TRT is not clinically appropriate.

A provider may also:
Decline to issue a prescription;
Require additional laboratory testing;
Request additional medical records;
Require additional evaluation;
Modify a patient's medication or dosage;
Delay or decline a refill;
Discontinue treatment;
Determine that an in-person evaluation is necessary; or
Refer the patient to another healthcare professional.

These decisions are made by the treating healthcare provider and not by NTP.

Payment, enrollment, completion of an intake questionnaire, completion of laboratory testing, or participation in a healthcare consultation does not guarantee that testosterone or any other medication will be prescribed.

8. TESTOSTERONE AND CONTROLLED SUBSTANCES
Testosterone is a controlled substance under federal law.

Controlled-substance prescriptions are issued solely when an appropriately licensed healthcare provider determines that treatment is clinically appropriate and when prescribing is permitted under applicable federal and state law.

Patients seeking TRT agree to provide truthful, accurate, current, and complete information regarding their:
Identity;
Age;
Physical location;
Medical history;
Current medications;
Other controlled substances;
Relevant diagnoses;
Laboratory results; and
Other information requested by their treating provider.

Patients may be required to complete additional identity verification, clinical evaluation, laboratory testing, in-person evaluation, or other requirements before beginning or continuing treatment.

Patients must not provide false or misleading information to obtain testosterone or another prescription medication.

Patients must use prescribed controlled substances only as directed by their healthcare provider.

Patients may not sell, transfer, share, distribute, or otherwise divert prescription medications obtained through the Services.

Federal and state requirements relating to telehealth and controlled-substance prescribing may change.

Changes in statutes, regulations, agency requirements, prescribing rules, enforcement policies, or professional standards may affect the availability of TRT or require changes to a patient's treatment process.

NTP does not guarantee that TRT will remain available in any particular jurisdiction.

9. TRT LABORATORY TESTING AND MONITORING
Laboratory testing may be required before TRT begins and periodically during treatment.

The treating healthcare provider determines:
Which laboratory tests are required;
When testing must be performed;
Whether previous laboratory results are acceptable;
Whether additional testing is necessary;
How laboratory results affect treatment; and
When future testing or clinical follow-up is required.

Laboratory testing may be performed through independent laboratories coordinated through licensed partners or another participating service provider.

Laboratory availability may vary based upon patient location and program configuration.

Patients are responsible for completing required laboratory testing within the timeframe established by their healthcare provider.

Failure to complete required laboratory testing or clinical monitoring may result in:
Delayed treatment;
Delayed prescription issuance;
Delayed refills;
Suspension of treatment; or
Discontinuation of treatment.

NTP does not independently interpret laboratory results or make clinical treatment decisions based upon laboratory results.

Questions concerning laboratory findings should be directed to the patient's treating healthcare provider.

10. TRT PHARMACY SERVICES AND PRESCRIPTION FULFILLMENT
The pharmacy arrangement used for TRT differs from the pharmacy arrangement generally applicable to Care Services.

NTP's TRT program may utilize multiple independent participating pharmacies throughout the United States.

If a treating healthcare provider determines that testosterone or another medication is clinically appropriate and issues a prescription, the prescription may be transmitted to an appropriately licensed participating pharmacy.

The pharmacy selected to dispense a patient's prescription may vary depending upon the state to which medication will be delivered, pharmacy licensing, medication availability, provider requirements, applicable law, operational considerations, and other factors.

Patients participating in the TRT program may therefore not be able to select a specific dispensing pharmacy.

NTP does not guarantee that any particular pharmacy will:
Fill a prescription;
Serve a particular state;
Have a particular medication available;
Continue participating in the program; or
Remain the patient's dispensing pharmacy for future prescriptions.

Pharmacy partners may be added, removed, or changed as pharmacy licensing, medication availability, contractual relationships, regulatory requirements, or operational needs change.

A current list of participating pharmacy partners may be made available separately by NTP and may be updated from time to time without requiring modification of these Terms.

Each dispensing pharmacy is independently responsible for its professional pharmacy services, including:
Pharmacist review;
Dispensing decisions;
Prescription verification;
Medication preparation or compounding where applicable;
Medication labeling;
Dispensing;
Packaging;
Shipping;
Patient counseling obligations; and
Compliance with applicable pharmacy laws and regulations.

NTP does not manufacture or dispense testosterone or other prescription medications.

Medication packaging, supplies, manufacturer, concentration, dosage form, delivery method, and shipping arrangements may vary depending upon the prescription and dispensing pharmacy.

11. PRESCRIPTION AVAILABILITY
No prescription medication is guaranteed through any NTP Service.

A healthcare provider may decline to issue a prescription based upon professional judgment.

Even after a prescription has been issued, fulfillment may be affected by circumstances including:
Pharmacy licensing;
Medication availability;
Drug shortages;
Pharmacy inventory;
Applicable law;
Regulatory restrictions;
Pharmacy professional judgment;
Delivery restrictions;
Shipping disruptions; or
Other circumstances beyond NTP's reasonable control.

A pharmacy may independently decline to dispense a prescription.

Any clinical change to a prescription must be authorized by the treating healthcare provider where required.

12. TELEHEALTH
Telehealth involves healthcare services delivered using electronic communications when the healthcare provider and patient are located in different locations.

Depending upon the Service and applicable law, telehealth may include:
Video consultations;
Telephone or audio consultations;
Secure messaging;
Asynchronous medical questionnaires;
Electronic review of patient information;
Transmission of laboratory results;
Transmission of photographs or other health information;
Electronic health records; and
Other communication technologies permitted by law.

Telehealth has limitations and may not be appropriate for every medical condition.

The absence of an in-person examination may affect a provider's ability to evaluate certain symptoms or conditions.

A healthcare provider may determine that telehealth is insufficient and recommend or require an in-person examination or other medical care.

Patients are responsible for providing complete and accurate information to their healthcare provider.

13. INDEPENDENT HEALTHCARE PROVIDERS
NTP is not a medical practice.

All medical evaluations, diagnoses, treatment recommendations, prescribing decisions, medication selection, dosage decisions, laboratory orders, laboratory interpretation, referrals, and other clinical decisions are made exclusively by independent licensed healthcare professionals responsible for the patient's care.

For applicable Care Services, these services are currently provided or coordinated through licensed partners and their participating healthcare professionals.

For TRT Services, these services are currently provided or coordinated through licensed partners and their participating healthcare professionals and/or professional medical entities.

NTP does not employ, direct, supervise, or control healthcare providers in the exercise of their independent clinical judgment except to the extent an applicable written arrangement expressly provides otherwise and is permitted by law.

NTP does not guarantee any particular clinical outcome.

14. THIRD-PARTY SERVICES AND PLATFORMS
NTP works with third-party organizations in connection with the Services.

These organizations may include:
Licensed healthcare partners;
Licensed veterinary partners;
Professional medical entities;
Physicians and other healthcare providers;
Veterinarians;
Pharmacies;
Laboratories;
Payment processors;
Patient portal providers;
Technology providers; and
Other administrative or healthcare-related service providers.

These organizations are separate entities and may have their own terms of service, privacy policies, Notices of Privacy Practices, informed-consent documents, telehealth consents, and other policies or agreements.

Use of third-party services may be subject to those additional terms and policies.

The identification of a third-party organization in these Terms does not guarantee that the organization will remain an NTP service provider indefinitely.

NTP may change participating vendors or service providers when appropriate, subject to applicable contractual, legal, regulatory, and patient-care requirements.

15. ELIGIBILITY AND LOCATION
By accessing or using the Services, you represent that:
You meet the age requirements applicable to the Service;
You are legally capable of agreeing to these Terms;
You will provide truthful, accurate, current, and complete information;
You will not misrepresent your identity;
You will not misrepresent your physical location;
You will comply with reasonable identity-verification requirements;
You will comply with applicable laws and regulations; and
You will use the Services only for lawful purposes.

Healthcare availability is generally determined based upon the patient's physical location at the time healthcare services are provided.

A healthcare provider may be unable to provide care if the patient is physically located in a jurisdiction where that provider is not authorized to practice.

Satisfying NTP's general eligibility requirements does not guarantee clinical eligibility for any particular treatment or medication.

16. PAYMENTS AND BILLING
NTP may collect payment directly from patients or users for Services, memberships, subscriptions, programs, and related offerings.

NTP may use one or more third-party payment processors to process transactions.

Depending upon the program selected, amounts charged through NTP may relate to or include:
NTP administrative or technology services;
Membership or subscription access;
Healthcare provider services;
Veterinary services;
Laboratory testing;
Medication;
Pharmacy fulfillment;
Shipping;
Program administration; and
Other services or benefits disclosed during enrollment or checkout.

The fact that NTP collects payment for a program does not mean that NTP provides the underlying medical, veterinary, pharmacy, or laboratory professional service.

NTP may maintain contractual payment arrangements with healthcare organizations and other third-party service providers participating in NTP programs.

By submitting payment information, you authorize NTP and its payment processors to charge the payment method you provide for amounts associated with the Service you select, including recurring charges when applicable.

You are responsible for maintaining accurate and current payment information.

Payment does not guarantee any particular diagnosis, treatment, prescription, medication, clinical outcome, or other healthcare result.

Where a healthcare consultation, laboratory service, administrative service, or other non-refundable component of a program has already been performed or incurred, associated fees may remain payable even if a healthcare provider determines that prescription treatment is not clinically appropriate.

17. PRICING AND PROMOTIONS
Prices, memberships, programs, discounts, promotional offers, and other Service terms may change from time to time.

Unless otherwise stated, changes in pricing apply prospectively and do not create a right to a refund for Services previously purchased.

Promotional offers may:
Be available only to eligible users;
Be limited to particular programs;
Be limited to new users;
Have expiration dates;
Be limited in duration; or
Be subject to additional terms disclosed with the promotion.

NTP may modify or discontinue promotions or Services to the extent permitted by applicable law.

18. SUBSCRIPTIONS AND AUTOMATIC RENEWAL
Certain NTP Services may be offered on a recurring membership or subscription basis.

When a recurring plan is selected, the applicable price, billing frequency, and material subscription terms will be disclosed during enrollment or checkout.

Unless canceled in accordance with the applicable cancellation terms, recurring subscriptions may automatically renew and the payment method on file may be charged for the next billing period.

Cancellation, refund eligibility, and billing disputes are subject to NTP's applicable Refund, Dispute, and Cancellation Policy and any program-specific terms disclosed at enrollment or checkout.

Cancellation of an NTP subscription is an administrative action and does not constitute medical advice.

Patients receiving prescription treatment should consult their treating healthcare provider regarding questions about stopping or modifying treatment.

19. REFUNDS, CANCELLATIONS, AND PAYMENT DISPUTES
Refunds, cancellations, and payment disputes are governed by NTP's Refund, Dispute, and Cancellation Policy and any additional terms presented at checkout.

Certain fees may become non-refundable once a service has been performed or a third-party cost has been incurred.

Examples may include completed healthcare consultations, laboratory services, pharmacy processing, medication fulfillment, administrative services, or other services that have already been provided or initiated.

Users agree to contact NTP regarding billing concerns or disputed charges so that NTP has an opportunity to investigate the matter.

Nothing in these Terms limits any rights provided to consumers under applicable law.

20. INSURANCE AND THIRD-PARTY REIMBURSEMENT
Unless expressly stated otherwise, NTP Services are offered on a self-pay basis.

NTP does not guarantee that any Service, healthcare consultation, laboratory test, medication, membership, or other expense will be reimbursed by:
Private health insurance;
Medicare;
Medicaid;
An employer;
A health savings account;
A flexible spending account; or
Any other third-party payer or benefit program.

Patients are responsible for determining whether a particular expense is eligible for reimbursement.

21. NO MEDICAL OR VETERINARY ADVICE FROM NTP
NTP does not provide medical or veterinary advice.

Website content, marketing materials, customer-support communications, educational materials, and other information provided directly by NTP are intended for general informational, administrative, enrollment, billing, or customer-support purposes unless expressly provided by a licensed healthcare or veterinary professional acting in that professional capacity.

Patients should direct questions regarding:
Diagnosis;
Treatment;
Prescription medications;
Medication dosage;
Medication side effects;
Drug interactions;
Laboratory results;
Medical symptoms;
Changes to treatment; or
Other clinical concerns
to their treating healthcare provider through the applicable patient portal or clinical communication channel.

Veterinary questions should similarly be directed to the applicable veterinary professional or veterinary service provider.

22. USER RESPONSIBILITIES
By using the Services, you agree to:
Provide truthful, accurate, current, and complete information;
Keep account information reasonably secure;
Use the Services only for lawful purposes;
Comply with applicable laws and regulations;
Follow reasonable identity-verification procedures;
Follow instructions provided by licensed professionals;
Use prescription medications only as prescribed;
Complete required laboratory testing or clinical monitoring;
Inform your healthcare provider of material changes in your health or medications; and
Seek emergency or in-person care when appropriate.

You agree not to:
Provide false or misleading medical information;
Falsify laboratory results;
Misrepresent your identity or location;
Attempt to obtain prescription medication through fraud or deception;
Share, transfer, sell, or distribute prescription medication prescribed to you;
Use the Services for unlawful controlled-substance activity;
Interfere with the operation or security of the Services;
Access another person's account without authorization;
Misuse patient portals or healthcare communications; or
Engage in fraudulent, abusive, threatening, or unlawful conduct.

23. ACCOUNT OR SERVICE SUSPENSION AND TERMINATION
NTP may suspend, restrict, or terminate access to its administrative, membership, account, or platform Services when reasonably necessary, including for:
Violation of these Terms;
Fraud or suspected fraud;
False or misleading information;
Identity misrepresentation;
Misuse of prescription medication;
Abuse or misuse of the Services;
Threats or abusive conduct;
Unauthorized use;
Payment failures;
Improper payment disputes or fraudulent chargebacks;
Security concerns;
Legal or regulatory requirements; or
Conduct that threatens the safety, security, or integrity of NTP or participating service providers.

Independent healthcare providers may separately decline, suspend, modify, or discontinue medical treatment based upon professional judgment.

NTP's termination of administrative Services does not prevent a user from seeking medical care from another healthcare provider.

24. SERVICE AVAILABILITY AND CHANGES
NTP does not guarantee the continued availability of any particular:
Program;
Healthcare provider;
Veterinary provider;
Medication;
Pharmacy;
Laboratory;
Patient portal;
Technology provider; or
Other Service.

Services may be modified, suspended, replaced, or discontinued because of circumstances including:
Changes in law or regulation;
Provider licensing;
Pharmacy licensing;
Controlled-substance requirements;
Provider availability;
Pharmacy availability;
Medication shortages;
Laboratory availability;
Vendor changes;
Contractual changes;
Technology changes; or
Other operational considerations.

When reasonably practicable, NTP may provide notice of material changes affecting an ongoing Service.

25. ELECTRONIC COMMUNICATIONS
By using the Services, you consent to receive communications electronically where permitted by law.

These communications may include:
Account notices;
Billing communications;
Program information;
Service notifications;
Appointment or administrative reminders;
Changes to policies;
Notices relating to these Terms; and
Other communications associated with Services you request.

Clinical communications may be provided through a third-party patient portal or healthcare platform.

You are responsible for maintaining accurate contact information.

26. PRIVACY
Information collected in connection with the Services may be subject to NTP's applicable Privacy Policy and, where applicable, privacy practices maintained by participating healthcare providers, professional medical entities, pharmacies, laboratories, veterinary providers, and technology platforms.

Healthcare organizations participating in the Services may provide separate Notices of Privacy Practices or other privacy disclosures governing health information they create or maintain.

Users should review applicable privacy notices and policies provided in connection with the specific Service they use.

27. DISCLAIMERS
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NTP'S ADMINISTRATIVE, TECHNOLOGY, AND PLATFORM SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

NTP DOES NOT WARRANT THAT EVERY SERVICE, PROVIDER, MEDICATION, PHARMACY, LABORATORY, OR PROGRAM WILL BE AVAILABLE AT ALL TIMES OR IN EVERY LOCATION.

NTP DOES NOT GUARANTEE:
A particular diagnosis;
Eligibility for treatment;
Issuance of a prescription;
Dispensing of a medication;
A particular healthcare outcome;
Availability of a specific provider;
Availability of a specific pharmacy;
Availability of a specific medication; or
Uninterrupted availability of a third-party platform.

Nothing in these Terms is intended to disclaim warranties or rights that cannot legally be disclaimed.

28. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NATIONAL TELEHEALTH PROVIDERS SHALL NOT BE LIABLE FOR THE INDEPENDENT PROFESSIONAL JUDGMENT OR PROFESSIONAL SERVICES OF THIRD-PARTY HEALTHCARE PROVIDERS, VETERINARIANS, PHARMACIES, LABORATORIES, OR OTHER INDEPENDENT LICENSED PROFESSIONALS.

This includes independent decisions concerning diagnosis, treatment, prescribing, medication selection, dosage, laboratory interpretation, veterinary treatment, pharmacy dispensing, or other professional services.
